Preordering commits capital against product that does not yet exist. This policy separates the stages so that neither party is committed to something it did not agree to.
1. Indicated interest — non-binding
A dealer may register interest in an upcoming product by stating a quantity it would take at an indicated price. Indicated interest is NOT an order. It commits neither the dealer nor W&S, and no payment is taken.
Aggregate indicated interest is used by W&S to size its own purchasing and to evidence downstream demand to suppliers. Interest is recorded against the account with a timestamp and quantity.
Participation in indicated interest is one of the criteria weighted in later allocation decisions. It does not guarantee allocation.
2. Preorder — binding request
When W&S opens a product for preorder, a dealer may submit a binding request for a quantity at a stated price. A preorder is a request, not a confirmed allocation.
W&S will state at the point of preorder whether payment or payment authorization is taken at submission or at allocation confirmation.
Between preorder and allocation confirmation the quantity may change, because W&S’s own supply may change. W&S will notify the account of any change rather than allowing it to be discovered at delivery.
3. Allocation confirmation
W&S confirms in writing the quantity the account will receive. Only a written confirmation creates an allocation.
Confirmed allocations are recorded with quantity, price and timestamp, and are visible to the account.
4. Cancellation
Indicated interest may be withdrawn at any time without consequence.
A preorder may be cancelled before allocation confirmation. W&S will state at the point of preorder whether any charge applies.
A confirmed allocation is a commitment. Cancellation after confirmation may incur a charge as stated at confirmation, and repeated cancellation of confirmed allocations will affect future allocation decisions. That consequence is published here rather than applied without notice.
5. Release date changes
Upstream release dates move and W&S does not control them. Where an expected arrival changes, W&S will update the record and notify affected accounts.
Where W&S does not have a confirmed arrival date, the record will say so. W&S will not publish an expected date it knows to be superseded.
A material delay does not automatically cancel a confirmed allocation. Where a delay is substantial, W&S will contact the account.
6. Allocation criteria
Allocation criteria are published in full at /dealer-program/allocation-policy and form part of this policy. W&S retains discretion in allocation decisions and no allocation is guaranteed until confirmed in writing.
